Existing a discharge by the assignment of another obligation (or a "conditional existing") and the importance of differentiation between assignments

This article deals with one of the main kinds of assignments: the assignment of (another) debt or obligation as a conditional discharge of an existing one. We express our opinion against a rule, concerning such an assignment, laid down in a leading case of the Supreme Court. We also point out that in some cases the court has applied this rule when dealing with facts which constituted a sale or an absolute assignment. This category differs from an assignment as a conditional discharge in many respects, such as what is the main obligation and what is only collateral; does the assignment have to be registered in order to give the assignee priority over other creditors of the assignor; and when (if at all) may the assignee sue the assignor for the discharge of the obligation. The categorization of an assignment can even change a court's ruling.
