The Purposes of the Corporation

The question “For whose benefit should the corporation be managed?” has intrigued leading scholars for several generations, yet thus far no agreed answer to it has been found. This article claims that this debate, which refuses to disappear, cannot be resolved. The article presents a theoretical framework, integrating various insights from psychological research, and links them to doctrinal legal aspects concerning the problem of the corporation’s purposes as well as to the economic analysis of this problem. The central point is that a norm of multiple purposes places a heavier cognitive load on the corporations’ decision makers — a load which individuals with greater need for cognitive closure and who prefer conservation values will find it more difficult to cope with. The legal regime regarding the purpose of the corporation should take these aspects into consideration, but it cannot resolve the difficulties they present.
